01Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("Member," "you") and Akademia, doing business as Akademia ("Akademia," "we," "us"). By creating an account, enrolling, or otherwise using Akademia's platform or curriculum (the "Service"), you agree to these Terms and to our Privacy Policy, which explains what information we collect — including from family member accounts — and how it's used. If you do not agree, do not enroll in or use the Service.
If you are enrolling one or more family members under your account, you additionally agree to Section 4 (Family Member Accounts) and Section 12 (Minors Enrolled as Family Members) on their behalf, to the extent you have the legal authority to do so.
02Description of Service
Akademia provides an online educational membership curriculum combining physical, intellectual, and creative disciplines. Physical curriculum components may include, without limitation, martial arts, yoga, fitness conditioning and related movement-based instruction ("Physical Components") and culinary arts. Akademia may modify, expand, or discontinue any part of the curriculum at its discretion.
The role the Service plays in a student's overall education depends on the applicable state, provincial, or national homeschooling and compulsory-education requirements. In California and forty-four other states, Akademia may be used as a complete replacement for formal or compulsory education. In some states it may be subject to whatever notice, testing, portfolio, or evaluation requirements that state independently imposes on homeschooling families. In other states and countries, the Service functions as an adjunct enrichment program and is not intended as, and does not constitute, a substitute or replacement for the compulsory or formal education (including primary, secondary, or homeschool curricula) required by law in a student's state, province, or country of residence. It is the responsibility of the primary Member and any enrolling parent or guardian to independently verify their state's current classification and to ensure that a student's overall education satisfies all applicable compulsory education requirements.
03Eligibility & Account Registration
You must be at least 18 years old to create a primary Akademia account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information and to keep it up to date.
04Family Member Accounts
A primary Member may add family members to their membership, each of whom receives an individual account and individual sign-in credentials. By adding a family member, the primary Member represents and warrants that they have the legal authority to enroll that person — including, where the family member is a minor, that they are the minor's parent or legal guardian. Where the family member is a minor, the primary Member additionally confirms this by checking a guardian-confirmation box at enrollment, as described in our Privacy Policy.
- The primary Member is responsible for all fees associated with family member accounts.
- The primary Member is responsible for the conduct of family members in connection with the Service, to the extent permitted by law.
- Akademia may rely on the primary Member's representation of authority without independently verifying it.
05Membership Fees & Billing
Membership is billed on a recurring monthly basis as follows:
- $10.00 / month for the primary Member's account.
- $5.00 / month for each additional family member account added under the membership.
Fees are billed automatically to the payment method on file at the start of each billing cycle and will continue until the membership is cancelled in accordance with Section 6. Adding a family member grants them immediate access.
Akademia may change membership pricing with at least 30 days' notice to the primary Member's email address on file. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing. Except where required by law, fees already charged are non-refundable, including for partial months, unused access, or early cancellation.
If a payment fails, Akademia may retry the charge, suspend access to the Service, or both, until payment is resolved.
06Cancellation by Member
You may cancel your membership (or a specific family member's account) at any time through your account settings or by contacting us here. Cancellation takes effect at the end of the current billing cycle; you will retain access through that period, and no further charges will be made afterward.
07Suspension & Termination by Akademia
Akademia may suspend or terminate any account, with or without notice, for non-payment, violation of these Terms, conduct that Akademia reasonably believes endangers other members or staff, or misuse of the Service. Where reasonably practicable, Akademia will provide notice of the reason for suspension or termination.
08Physical Activity & Health Disclaimer
The Service includes Physical Components such as martial arts, yoga, fitness training and culinary arts. These activities involve physical exertion and operation of common kitchen appliances and utensils and carry an inherent risk of injury, including but not limited to sprains, strains, fractures, cardiovascular events, cuts, burns and other bodily harm. By participating, you represent that you are physically able to participate, and that you have no medical condition that would make participation unsafe, or that you have obtained clearance from a physician to participate.
09Assumption of Risk
You voluntarily assume all risks associated with participating in the Service's Physical Components, known or unknown, whether arising from your own actions, the actions of other participants, equipment, facilities, or instruction, including the risk of serious injury, disability, or death. You acknowledge that Akademia's instructors and curriculum cannot eliminate these inherent risks.
10Release & Waiver of Liability
To the fullest extent permitted by applicable law, you release, waive, and discharge Akademia, its owners, officers, employees, instructors, contractors, and agents (collectively, "Akademia Parties") from any and all liability, claims, demands, or causes of action arising out of or related to any injury, disability, death, or property damage resulting from your (or your family members') participation in the Service, whether caused by negligence of the Akademia Parties or otherwise.
11Indemnification
You agree to indemnify, defend, and hold harmless the Akademia Parties from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) participation by you or a family member enrolled under your account in any Physical Component, including martial arts, yoga, fitness training or culinary arts; (c) any injury, illness, or death arising from such participation; or (d) your violation of these Terms.
12Minors Enrolled as Family Members
Where a family member enrolled under your account is a minor, you represent that you are their parent or legal guardian with authority to agree to these Terms — including Sections 9, 10, and 11 — on their behalf. You further agree, individually, to indemnify the Akademia Parties for claims brought by or on behalf of the minor arising from the minor's participation in the Service, to the extent permitted by applicable law.
13Medical Disclaimer
Nothing in the Service constitutes medical advice. Curriculum content, including fitness, martial arts, yoga and culinary arts instruction, is provided for general educational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician with any questions regarding a medical condition before beginning physical training.
14Intellectual Property
All curriculum materials, video content, written materials, trademarks, and other content made available through the Service are owned by Akademia or its licensors. Membership grants you a limited, non-exclusive, non-transferable license to access this content for your own personal, non-commercial educational use. You may not reproduce, distribute, publicly perform, or create derivative works from Akademia's content without prior written permission.
15User Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) harass, threaten, or endanger other members or staff; (c) share your account credentials with anyone outside your household; (d) attempt to access another member's account without authorization; or (e) interfere with the security or proper functioning of the Service.
16Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Akademia does not warrant that the Service will be uninterrupted, error-free, or that any particular outcome (physical, intellectual, or otherwise) will result from participation.
17Limitation of Liability
To the fullest extent permitted by law, the Akademia Parties' total liability arising out of or relating to the Service shall not exceed the total membership fees paid by you in the twelve (12) months preceding the claim. In no event shall the Akademia Parties be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
18Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Los Angeles, California, on an individual basis only; you and Akademia waive any right to a jury trial or to participate in a class action.
Some jurisdictions restrict pre-dispute arbitration or class-action waivers, particularly for consumer contracts and claims involving physical injury — confirm enforceability with counsel before relying on this clause.
19Changes to These Terms
Akademia may update these Terms from time to time. Material changes will be communicated by email to the primary Member's address on file or by notice within the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
20Force Majeure
Akademia is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, labor disputes, internet or utility failures, or public health emergencies.
21General Provisions
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
Entire Agreement. These Terms, together with any policies referenced herein, constitute the entire agreement between you and Akademia regarding the Service.
No Waiver. Akademia's failure to enforce any provision is not a waiver of its right to do so later.
Assignment. Akademia may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign your membership without Akademia's prior written consent.
